The Corporation

The corporation is a large national widget manufacturer. The forty-eight contiguous United States comprise the corporation's primary market. The vast majority of sales are domestic. The corporation makes no particular efforts to sell products overseas and has no foreign divisions, affiliates or subsidiaries.

The corporate home office is in Raleigh, North Carolina. The corporation maintains branch offices throughout the United States for the manufacturing, sale, distribution, and service of products. Personnel of the corporation make all sales; products are not sold by or through independent representatives.

The corporation is chartered under the laws of North Carolina. Branch offices are registered in the states where located. Sale contracts provide that North Carolina law controls conflicts and lawsuits and that litigation must be filed in the courts of North Carolina.
